|Abstract:||The objective of the thesis is to contribute to the research of problems of primary issues of shares, which were considered with emphasis on their legal regulation. Attention was paid also to actual situation on the Czech capital market and its development. Introductory part first theoretically defines the meaning of the term primary issue and its role among others sources of financing business. The central part is devoted to the analysis of chosen problems in the legal regulation of primary issues. Its aim is to research particular legal difficulties, which are or have been complications for possible issuers. Yet in recent past there have been main difficulties of primary issues in the area of legal regulation, which were making them nearly impossible. Next part turns to the situation on Czech capital market in more detail, mainly to the analysis of empirical data on trading with issues. Under current conditions on the capital market most issues have no chance to collect any sources in this way. But long-term failure of primary issues of shares can lead even to jeopardy of the existence of the market. In the light of future integration of European capital markets is finally called attention to the fact that the role of legal regulation in the background of capital markets could be creation of safe institutional framework, which could prevent important issuers from leaving the market.|
